Terms of Service

Please read these Terms of Service ("Terms") carefully before using the GetCybr platform and services operated by GetCybr, Inc. ("GetCybr," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using GetCybr's platform or services ("Services"), you ("Customer," "you," or "your") agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization.

If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

GetCybr provides an AI-powered virtual Chief Information Security Officer (vCISO) platform that delivers cybersecurity leadership, compliance automation, risk management, and related professional services to organizations. Our Services include:

• AI-powered security risk assessments and continuous monitoring
• Compliance automation for frameworks including SOC 2, ISO 27001, HIPAA, NIST CSF, GDPR, and PCI-DSS
• Fractional vCISO advisory services provided by security practitioners
• Incident response planning, tabletop exercises, and playbook development
• Third-party risk management and vendor assessment tools
• Board and executive reporting dashboards
• Security policy and procedure libraries

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice to you.

3. User Accounts and Responsibilities

To access the Services, you must create an account and provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring all users in your organization comply with these Terms

You must not use the Services for any unlawful purpose, to transmit harmful content, to attempt to gain unauthorized access to any system, or in any manner that could damage, disable, or impair the Services.

4. Payment Terms

Subscription fees are billed in advance on a monthly or annual basis as agreed in your order form or subscription agreement. All fees are stated in US dollars and are non-refundable except as expressly set forth herein.

We reserve the right to change our pricing upon thirty (30) days' prior written notice. Continued use of the Services after a price change constitutes acceptance of the new pricing. Failure to pay may result in suspension or termination of your access to the Services.

You are responsible for all applicable taxes. Where required by law, GetCybr will collect and remit applicable taxes on your behalf.

5. Intellectual Property

GetCybr and its licensors retain all right, title, and interest in and to the Services, including all software, AI models, algorithms, documentation, and all intellectual property rights therein. These Terms do not grant you any rights to GetCybr's trademarks, service marks, logos, or trade names.

You retain all rights to data and content you submit to the Services ("Customer Data"). You grant GetCybr a limited, non-exclusive license to use Customer Data solely to provide and improve the Services as described in our Privacy Policy.

6. Data Handling and Privacy

Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of your information as described therein.

GetCybr implements industry-standard security measures to protect your data. We are SOC 2 compliant and aligned with ISO 27001. Enterprise customers may request a Data Processing Agreement (DPA) at [email protected].

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GETCYBR AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

GETCYBR'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO GETCYBR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. GETCYBR DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

8. Termination

Either party may terminate these Terms and your access to the Services upon thirty (30) days' written notice. GetCybr may terminate or suspend your access immediately upon written notice if you materially breach these Terms or if required by law.

Upon termination, your right to use the Services will cease immediately. We will provide you with a reasonable opportunity to export your Customer Data for thirty (30) days following termination, after which we may delete your data in accordance with our data retention policy.

9. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or by posting a notice on our website at least thirty (30) days before the changes take effect. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

11. General Provisions

These Terms, together with the Privacy Policy and any applicable order forms, constitute the entire agreement between you and GetCybr with respect to the Services and supersede all prior agreements. If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

GetCybr's failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
